These Terms of Service (“Terms”) govern your access to and use of the SP Tools USA website and your purchase or use of SP Tools USA products and services.

By accessing the website, creating an account, placing an order, or using our products or services, you agree to these Terms. If you do not agree, do not use the website or purchase products through it.

1. Eligibility and Authorized Use

You must be at least 18 years old and legally capable of entering into a binding agreement to use this website or make a purchase.

If you use the website or place an order on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

SP Tools USA products are designed primarily for professional technicians, tradespeople, students, shops, distributors, and other qualified users. Products must be used only for their intended purpose and in accordance with applicable instructions and safety requirements.

2. Customer Accounts

Certain website features may require an account. You agree to provide accurate, current, and complete information and to update that information when necessary.

You are responsible for:

  • Restricting access to your account
  • All purchases and activity conducted through your account
  • Promptly reporting suspected unauthorized access

SP Tools USA may suspend or terminate an account if we reasonably believe it has been used fraudulently, unlawfully, or in violation of these Terms.

3. Product Information

SP Tools USA makes reasonable efforts to provide accurate product descriptions, specifications, images, pricing, compatibility information, and availability. However, errors may occasionally occur.

Product images are provided for reference. Actual products, packaging, colors, included accessories, specifications, and features may differ because of manufacturing updates or product revisions.

Customers are responsible for confirming that a product is suitable for its intended application before purchasing or using it.

4. Orders and Acceptance

Submitting an order does not guarantee acceptance. SP Tools USA reserves the right to accept, decline, limit, or cancel an order for reasons including:

  • Product availability
  • Pricing or description errors
  • Suspected fraud or unauthorized activity
  • Payment or credit issues
  • Shipping restrictions
  • Export-control requirements
  • Reseller or distribution restrictions

An order is accepted when SP Tools USA confirms the order or begins processing it. If an order is canceled after payment, an appropriate refund will be issued to the original payment method.

5. Pricing, Promotions, and Payment

Prices are listed in U.S. dollars unless otherwise stated. Prices, promotions, product availability, and specifications may change without notice.

Promotional offers:

  • May apply only to eligible products or customers
  • May not be combined unless expressly permitted
  • Have no cash value
  • May be changed or canceled where permitted by law

Customers are responsible for applicable sales, use, excise, customs, and similar taxes unless a valid tax-exemption certificate has been accepted.

You authorize SP Tools USA and its payment providers to charge the payment method supplied for the total order amount, including taxes, shipping, and applicable fees.

Financing, leases, credit accounts, or payment plans may be governed by additional terms from the applicable financing provider.

6. Shipping and Delivery

Shipping and delivery estimates are provided as a courtesy and are not guaranteed. SP Tools USA is not responsible for delays caused by carriers, weather, supply-chain disruptions, incorrect delivery information, customs, or circumstances outside our reasonable control.

Customers must inspect shipments upon delivery and promptly report missing, incorrect, or visibly damaged products.

Freight deliveries, including tool storage and other oversized equipment, should be inspected before acceptance. Visible damage must be documented on the delivery receipt. Failure to document freight damage at delivery may affect the ability to file a claim.

Risk of loss and title transfer according to applicable law and the shipping terms associated with the order.

7. Returns and Refunds

Returns and refunds are governed by the SP Tools USA Returns and Refunds Policy in effect at the time of purchase.

Products must generally be returned in new, unused, and sellable condition with all original packaging, accessories, and contents.

Certain products—including final-sale items, custom orders, freight orders, opened consumables, completed services, and products returned in damaged, incomplete, or unsanitary condition—may be nonreturnable.

The Returns and Refunds Policy is incorporated into these Terms by reference.

8. Purchases From Authorized Distributors

Products purchased through an authorized SP Tools USA distributor, tool truck, independent dealer, retailer, marketplace, or other third party are generally subject to that seller’s payment, return, exchange, and cancellation policies.

Unless otherwise required by an applicable warranty, products purchased through a third party must be returned to the original seller.

Authorized SP Tools USA distributors are independently operated businesses unless expressly stated otherwise. SP Tools USA is not responsible for an independent distributor’s separate representations, financing arrangements, payment collections, routes, scheduling, business practices, or contractual commitments.

9. Product Use and Safety

SP Tools USA products must be used only by individuals with the appropriate knowledge, experience, and training.

Before using a product, you are responsible for:

  • Reading and following all instructions and safety warnings
  • Inspecting the product for damage or wear
  • Using appropriate personal protective equipment
  • Confirming that the product is correctly sized and rated for the task
  • Maintaining a safe work environment
  • Following applicable workplace and industry safety requirements

Never use a product that is damaged, modified, improperly maintained, or unsuitable for the intended application.

SP Tools USA is not responsible for injury or damage caused by misuse, abuse, overloading, unauthorized modification, improper maintenance, use for an unintended purpose, or failure to follow instructions.

10. Power, Air, and Cordless Tools

Power tools, air tools, cordless tools, batteries, chargers, and accessories must be operated according to their rated capacity and manufacturer instructions.

Customers are responsible for using:

  • Proper air pressure, fittings, hoses, and lubrication
  • Compatible batteries and chargers
  • Correct guards, attachments, sockets, and accessories
  • Appropriate electrical sources and workplace protection
  • Required eye, hearing, hand, respiratory, and other protective equipment

Accessories and attachments must be properly rated for the tool’s speed, torque, pressure, and intended application.

11. Tool Storage and Workshop Equipment

Toolboxes, workbenches, carts, creepers, stools, lockers, and other workshop equipment must be used on appropriate surfaces and within their stated load limits.

Customers are responsible for:

  • Distributing weight properly
  • Securing mobile storage during transportation
  • Engaging caster locks when appropriate
  • Avoiding overloading drawers, slides, shelves, and casters
  • Following assembly and anchoring instructions
  • Using mobile equipment only when designed for mobile applications

SP Tools USA is not responsible for tipping, collapse, movement, or damage caused by overloading, improper assembly, uneven surfaces, unsecured transportation, or unintended use.

12. Warranty Coverage

Eligible products may be covered by an SP Tools USA warranty. Warranty duration, coverage, exclusions, and procedures vary by product category.

Warranty claims may require:

  • Proof of purchase
  • Product and serial-number information
  • Photographs or videos
  • Inspection or troubleshooting
  • Return of the product to an authorized dealer or SP Tools USA
  • A description of the claimed defect

Warranty coverage generally does not include normal wear, misuse, abuse, overloading, neglect, improper maintenance, unauthorized modification or repair, consumable parts, cosmetic damage, or use outside the product’s intended purpose.

SP Tools USA may repair, replace, or otherwise resolve an approved warranty claim at its discretion and in accordance with the applicable written warranty.

13. Student and Apprentice Programs

Participation in an SP Tools USA student or apprentice program may require proof of enrollment in an eligible vocational, technical, or educational program.

Applicants agree to provide accurate information and authorize SP Tools USA to verify eligibility with the listed school or instructor.

Program pricing and benefits:

  • Are available only to approved participants
  • May be limited to eligible products and quantities
  • Are intended for the participant’s personal educational or professional use
  • May not be used for unauthorized resale
  • May change or end without notice

SP Tools USA may deny or revoke program access if eligibility information is incomplete, inaccurate, or cannot be verified.

14. Distributor Opportunities

Information submitted through distributor or business-opportunity forms does not create a franchise, dealership, distributorship, employment relationship, exclusive territory, or contractual commitment.

Distributor opportunities are subject to separate review, approval, written agreements, eligibility requirements, and commercial terms.

Any projections, examples, or descriptions of potential earnings are illustrative and do not guarantee financial results.

15. Website Use

You may not use the website to:

  • Violate any law or regulation
  • Commit fraud or impersonate another person
  • Interfere with the website’s security or operation
  • Introduce malware or harmful code
  • Attempt unauthorized access to accounts or systems
  • Collect website information through unauthorized automated methods

To the fullest extent permitted by law, SP Tools USA will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, business interruption, loss of use, vehicle downtime, personal property damage, or the cost of substitute equipment.

To the fullest extent permitted by law, SP Tools USA’s total liability arising from a product, service, transaction, or these Terms will not exceed the amount paid to SP Tools USA for the specific product or service giving rise to the claim.

These limitations do not apply where prohibited by law.

24. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless SP Tools USA and its owners, affiliates, employees, representatives, distributors, and service providers from claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Your misuse of a product, service, or website
  • Your violation of these Terms
  • Your unlawful or negligent conduct
  • Your unauthorized modification or resale of a product
  • Your infringement of another party’s rights

25. Governing Law and Venue

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles.

Unless otherwise required by law or agreed in writing, any legal proceeding related to these Terms must be brought in a court of appropriate jurisdiction located in Baldwin County, Alabama.

26. Changes to These Terms

SP Tools USA may update these Terms periodically. Updated Terms will be posted on the website with a revised “Last Updated” date.

Changes apply prospectively unless otherwise stated or required by law. Continued use of the website after updated Terms take effect constitutes acceptance of those changes.

27. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

A failure by SP Tools USA to enforce a provision does not waive its right to enforce that provision later.

28. Entire Agreement

These Terms, together with the Privacy Policy, Returns and Refunds Policy, Shipping Policy, Warranty Information, and other policies applicable to a purchase, constitute the agreement between you and SP Tools USA concerning the website and related transactions.

Dealer, distributor, financing, commercial, sponsorship, and separately signed agreements control if they conflict with these general Terms.
